# UCM Terms of Service

## 1. ACCEPTANCE OF TERMS

By accessing or using the Universal Context Manager ("UCM") platform, including its web interface, API, MCP server, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

## 2. SERVICE DESCRIPTION

UCM is a AI context management platform that enables users to store, publish, discover, and share code artifacts, commands, and components ("Content"). The Service includes:

- Web-based repository and discovery interface with private and public content modes
- REST API for programmatic access
- Model Context Protocol (MCP) server for AI agent integration
- Automated content scanning and metadata services

**Content Visibility Control**: UCM provides both private storage and public publishing capabilities. Content remains private by default and is only accessible to other users when you explicitly toggle it to public visibility.

**IMPORTANT**: UCM is a platform service only. We do not create, endorse, warrant, or take responsibility for any user-published Content.

## 2.1 DEFINITIONS

For clarity in these Terms:

- **"Private Content"**: Content stored in your UCM account that you have not explicitly made publicly accessible. Private Content remains under your exclusive ownership and control.
- **"Published Content"**: Content that you have explicitly designated as publicly accessible through UCM's visibility controls, making it discoverable and usable by other UCM users and AI agents.
- **"Content"**: Collectively refers to both Private Content and Published Content unless specifically distinguished.

## 3. USER RESPONSIBILITIES AND WARRANTIES

### 3.1 Content Publication
By designating Content as Published Content (making it publicly accessible), you represent and warrant that:
- You own all rights to the Content or have proper authorization
- The Content does not infringe any third-party intellectual property rights
- The Content does not contain malicious code, viruses, or security vulnerabilities
- The Content complies with all applicable laws and regulations
- You have the right to grant the licenses described in Section 6

### 3.2 Security and Compliance
You are solely responsible for:
- Ensuring your Content is secure and does not harm other users
- Complying with all applicable export control and security regulations
- Maintaining appropriate documentation and version control
- Responding to security reports or takedown notices

### 3.3 Account Security
You are responsible for maintaining the security of your account credentials and all activities under your account.

## 4. PROHIBITED CONTENT AND CONDUCT

You may not publish or distribute Content that:
- Contains malware, viruses, or malicious code
- Infringes intellectual property rights
- Violates applicable laws or regulations
- Attempts to circumvent platform security measures
- Impersonates others or misrepresents Content ownership
- Contains spam, advertising, or commercial solicitations

## 5. AI AGENT AND MCP SERVER USAGE

### 5.1 Automated Access
The MCP server enables AI agents to automatically discover and utilize Published Content only. By using the Service, you acknowledge that:
- AI agents may access and compose your Published Content (content you have explicitly made public)
- AI agents configured with your authentication details will access your Private Content
- You assume all risks associated with AI-generated workflows using your Published Content and any other Public Content accessible on the UCM system
- UCM has no control over or responsibility for AI agent decisions
- AI agents act on behalf of their users, not UCM

### 5.2 Rate Limiting
UCM may impose rate limits and usage restrictions on API and MCP server access without notice.

## 6. INTELLECTUAL PROPERTY AND LICENSING

### 6.1 Utaba Repository Content (Special Licensing)
All artifacts published under the '/authors/utaba/main' namespace path in this system are subject to special licensing terms designed to maximize community benefit:

- **Public Domain Dedication**: All artifacts in the '/authors/utaba/main' namespace are dedicated to the public domain under Creative Commons CC0 (No Rights Reserved)
- **No Attribution Required**: You may use, modify, and distribute utaba artifacts without crediting Utaba or the original authors
- **No Ownership Claims**: No person or entity may claim proprietary ownership over artifacts originally published in the '/authors/utaba/main' namespace
- **Maximum Reusability**: Utaba artifacts may be freely incorporated into commercial and non-commercial projects without restriction
- **Derivative Works**: You may create derivative works based on utaba artifacts and license them however you choose
- **No Warranty, Support, or Liability**: Utaba artifacts are provided "as is" with absolutely no warranty, support, or guarantees of any kind. Utaba accepts zero liability for bugs, security vulnerabilities, performance issues, or any damages whatsoever arising from the use of artifacts in the '/authors/utaba' namespace. Users are solely responsible for testing, validating, securing, and maintaining any utaba content they choose to use. If you experience problems, you must resolve them yourself - no support, assistance, or remedies will be provided.

### 6.2 Private Content Rights
You retain full and exclusive ownership of all Private Content stored in your UCM account. For Private Content, UCM only has the limited rights necessary for service operation, including:
- Technical rights to store, backup, and cache your Private Content
- No rights are granted to other users to access, use, or discover your Private Content
- AI agents and other users cannot access your Private Content without your authentication token

### 6.3 Published Content Licensing
For Content you explicitly designate as Public Published Content (non-utaba repositories), you retain ownership but grant UCM and other users:
- A worldwide, non-exclusive, royalty-free license to use, copy, modify, and distribute your Published Content
- The right to cache, index, and display your Published Content for platform operation
- Permission for other users to discover and utilize your Published Content in their projects

**Publishing Requirement**: These licensing rights only apply when you actively choose to make Content publicly accessible through UCM's visibility controls. Simply uploading or storing Content in your account does not trigger these licensing terms.  Once a repository has been made public, the rules for public usage continue to apply even if you revoke the public visibility of the content.

### 6.4 Platform Rights
UCM retains all rights to the platform technology, including the web interface, API, MCP server, and related infrastructure.

## 7. DISCLAIMERS AND LIMITATION OF LIABILITY

### 7.1 NO WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

### 7.2 Content Disclaimers
- UCM does not endorse, warrant, or guarantee any user-published Content
- Security scanning is provided as a best-effort service only
- UCM makes no representations about Content safety, accuracy, or functionality
- Users access and use Content at their own risk

### 7.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UCM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

## 8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless UCM, Utaba, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service in violation of these Terms
- Content you publish to the platform
- Your breach of any representations or warranties made herein
- Your violation of these Terms
- Your violation of any third-party rights through your own actions

### 8.1 Third-Party Content Disclaimer
Users acknowledge that Content published by third parties is provided by those parties, not UCM. Users assume all risks associated with using third-party Content and agree that UCM has no liability for such Content. Users are encouraged to review, test, and validate all Content before use in production environments.

## 9. TERMINATION

### 9.1 Termination Rights
UCM may terminate or suspend your account and access to the Service at any time, with or without cause, and with or without notice.

### 9.2 Effect of Termination
Upon termination:
- Your access to the Service will cease immediately
- UCM may delete your Content at its discretion
- These Terms will survive termination as applicable

## 10. COPYRIGHT POLICY

UCM may remove your content or terminate your account due to suspected copyright infringement.

## 11. DISPUTE RESOLUTION

### 11.1 Binding Arbitration
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration under the Australian Centre for International Commercial Arbitration (ACICA) rules in Western Australia.

### 11.2 Class Action Waiver

You waive any right to participate in class action lawsuits or class-wide arbitration.

## 12. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of Western Australia, Australia, without regard to conflict of law principles. Any legal proceedings must be brought in the courts of Western Australia.

## 13. MODIFICATIONS

UCM may modify these Terms at any time by posting the updated Terms on the platform. Your continued use of the Service constitutes acceptance of the modified Terms.

## 14. SEVERABILITY

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
